Please read this before installing. By installing or using Syncopate It you agree to it. If you do not agree, do not install it, and request a refund.
1. What you are buying
You are buying a licence to use Syncopate It. You are not buying the software itself, and ownership of it stays with Shotography Software.
The licence is perpetual: once purchased, it does not expire, and it covers this version and every future version at no extra cost.
Syncopate It is sold in two forms:
- A single licence covers one person.
- A team licence covers a stated number of people — five, unless your receipt says otherwise — within one organisation.
Where this agreement says “you”, it means each person covered by the licence.
2. What you may do
- Install and use Syncopate It on any Mac that you own or personally use, including a laptop and a studio machine. Activation allows two machines per person; if you replace a Mac or need more, just ask.
- Use it for commercial work, on paid client jobs, without any additional fee, royalty or credit.
- Keep and use the timeline files, exports and edits it produces. They are entirely yours — Shotography Software claims no interest in your footage, your music, or anything Syncopate It helps you make.
- Make backup copies of the installer.
3. What you may not do
- Share, resell, sublicense, rent or publish your licence key, or use it beyond the number of people it covers. A single licence is one person; a team licence is the number of people stated on your receipt, all within one organisation. It is not a licence for a company’s contractors, clients or subsidiaries unless that was agreed in writing.
- Buy a team licence and hand seats to people outside your organisation. If you need more seats, they are available — please get in touch.
- Redistribute the software, in whole or in part, or include it in another product.
- Reverse engineer, decompile or disassemble it, except where that right cannot lawfully be excluded.
- Remove or alter any copyright or licensing notice within it.
4. Trial
The 7-day trial is the complete software with nothing withheld. It is for evaluation. When it ends, the software stops analysing until a licence key is entered; nothing you produced during the trial is affected or revoked.
5. Activation and privacy
Syncopate It contacts Gumroad’s licensing service to check your key when you activate, and occasionally afterwards to confirm it is still valid. That exchange contains your licence key and nothing else.
Syncopate It does not collect, transmit or store your footage, your audio, your project data, or any analytics. Your media is read on your own machine and never leaves it. There is no account, no telemetry, and no tracking.
6. No warranty
Syncopate It is provided “as is”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Syncopate It estimates where each take belongs in your reference track. It marks matches it is not confident in, but it can still be wrong. It is a tool that saves you time, not a guarantee of correctness. You are responsible for checking the result before you deliver work based on it, and for keeping backups of your media and projects.
7. Limitation of liability
To the maximum extent permitted by law, Shotography Software is not liable for any indirect, incidental, special or consequential damages, or for lost profits, lost work, lost data or missed deadlines, arising out of the use of or inability to use Syncopate It.
Where liability cannot lawfully be excluded, it is limited in total to the amount you paid for the licence.
8. Australian Consumer Law
Nothing in this agreement excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. If a consumer guarantee applies and cannot be excluded, Shotography Software’s liability for failing to comply with it is limited — at Shotography Software’s option — to replacing the software or refunding what you paid for it.
9. Termination
This licence ends if you breach it, in particular by using it beyond the number of people it covers. On termination you must stop using the software and remove it. Files you already produced with it remain yours.
Reaching your activation limit is not a breach and does not end anything. It only stops a further machine being activated; email info@shotography.com.au and it will be sorted out.
10. Third-party components
Syncopate It includes open-source components, each under its own licence. The full attributions are installed with the application, at Syncopate.app → Contents → Resources → THIRD-PARTY-NOTICES.txt, and are linked from the bottom of Syncopate It’s own Setup Guide window. Those licences govern those components, and nothing in this agreement limits your rights under them.
11. Governing law
This agreement is governed by the laws of Victoria, Australia, and the courts of Victoria have non-exclusive jurisdiction.
