Syncopate It Licence Agreement

Please read this before installing. By installing or using Syncopate It you agree to it. If you do not agree, do not install it, and request a refund.

1. What you are buying

You are buying a licence to use Syncopate It. You are not buying the software itself, and ownership of it stays with Shotography Software.

The licence is perpetual: once purchased, it does not expire, and it covers this version and every future version at no extra cost.

Syncopate It is sold in two forms:

4. Trial

The 7-day trial is the complete software with nothing withheld. It is for evaluation. When it ends, the software stops analysing until a licence key is entered; nothing you produced during the trial is affected or revoked.

5. Activation and privacy

Syncopate It contacts Gumroad’s licensing service to check your key when you activate, and occasionally afterwards to confirm it is still valid. That exchange contains your licence key and nothing else.

Syncopate It does not collect, transmit or store your footage, your audio, your project data, or any analytics. Your media is read on your own machine and never leaves it. There is no account, no telemetry, and no tracking.

6. No warranty

Syncopate It is provided “as is”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Syncopate It estimates where each take belongs in your reference track. It marks matches it is not confident in, but it can still be wrong. It is a tool that saves you time, not a guarantee of correctness. You are responsible for checking the result before you deliver work based on it, and for keeping backups of your media and projects.

7. Limitation of liability

To the maximum extent permitted by law, Shotography Software is not liable for any indirect, incidental, special or consequential damages, or for lost profits, lost work, lost data or missed deadlines, arising out of the use of or inability to use Syncopate It.

Where liability cannot lawfully be excluded, it is limited in total to the amount you paid for the licence.

8. Australian Consumer Law

Nothing in this agreement excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. If a consumer guarantee applies and cannot be excluded, Shotography Software’s liability for failing to comply with it is limited — at Shotography Software’s option — to replacing the software or refunding what you paid for it.

9. Termination

This licence ends if you breach it, in particular by using it beyond the number of people it covers. On termination you must stop using the software and remove it. Files you already produced with it remain yours.

Reaching your activation limit is not a breach and does not end anything. It only stops a further machine being activated; email info@shotography.com.au and it will be sorted out.

10. Third-party components

Syncopate It includes open-source components, each under its own licence. The full attributions are installed with the application, at Syncopate.app → Contents → Resources → THIRD-PARTY-NOTICES.txt, and are linked from the bottom of Syncopate It’s own Setup Guide window. Those licences govern those components, and nothing in this agreement limits your rights under them.

11. Governing law

This agreement is governed by the laws of Victoria, Australia, and the courts of Victoria have non-exclusive jurisdiction.
